This is a draft that is still being reviewed before Penny launches. Items marked like this will be filled in before it takes effect.
Effective date: to be set at launch
Provider: Daniel Yang, an individual developer ("we", "us"). Legal entity and address to be added before launch
App: Penny: Your Budgeting Pet for iPhone, its widget, shortcuts and related services ("Penny").
Summary (not a substitute for the terms): Penny is a budgeting app with an AI pet. You must be 18+. The pet is an AI, not a person, and doesn't give financial, tax, legal or mental-health advice. Premium renews automatically through Apple until you cancel. Coins are just for fun and have no cash value. Be kind to the AI and don't try to break it.
1. Acceptance of terms
1.1 By ticking "I agree to the Terms and Privacy Policy" on the last step of setup (before any account is created), or by using Penny, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use Penny.
1.2 These Terms are between you and us, not Apple. Apple isn't responsible for Penny or its content, but Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them (see §11, Apple terms).
1.3 Penny is offered only in the United States and Canada.
2. Accounts
2.1 Age. You must be 18 or older. We may close accounts we reasonably believe belong to someone under 18.
2.2 Anonymous and Apple accounts. Penny creates an anonymous account automatically so your data can sync. You can link it with Sign in with Apple to keep your data when you change phones. If you don't sign in and you lose or reset your phone, we may be unable to restore your data.
2.3 Your responsibility. Keep your device and Apple ID secure. You're responsible for activity on your account.
2.4 Accuracy. You're responsible for the entries, balances and categories you record. Penny shows only what you or your imports put in. It's not a record from your bank.
2.5 Deleting your account. You can delete your account at any time in Settings → Delete account and data. See the Privacy Policy for what happens to your data. Deleting your account doesn't cancel an App Store subscription (§3.5).
2.6 Our right to suspend or close accounts. We may suspend or close an account that breaks §4, endangers others, or is required to be closed by law. Where reasonable we'll tell you first and give you a chance to export your data (CSV). If we close your account without cause, and you paid for Premium, you can ask Apple for a refund under Apple's policies.
2.7 Ending the service. If we ever shut Penny down, we'll give at least 30 days' notice in the app so you can export your data.
3. Subscriptions and billing
3.1 Free and Premium. Penny's core logging, planning, pet and CSV export are free. Penny Premium adds features described on the in-app paywall (for example up to 300 smart chats a day, unlimited receipt scans, the roaster personality, your full history and trends, Pal outfits, town styles and photo mode, premium room items and alternate app icons). Features may change over time, as described in §10.
3.2 Billing by Apple. Premium is sold as an auto-renewing subscription through the Apple App Store: $5.99 USD/month or $39.99 USD/year (Canadian prices, e.g. about $7.99 / $54.99 CAD, and taxes are shown in the App Store before you buy). Apple charges your Apple ID, and Apple's terms govern payment.
3.3 Free trial. New subscribers may get a free trial. Its length depends on the plan (currently 1 month for the yearly plan and 1 week for the monthly plan) and is shown in the App Store and on the paywall before you subscribe. Unless you cancel at least 24 hours before the trial ends, it converts to a paid subscription and you're charged. We remind you 3 days before the trial ends, with the end date and the price that follows: by notification if you allow them, otherwise as a message in Penny's chat the first time you open the app in those 3 days. You're still responsible for cancelling in time.
3.4 Automatic renewal. Subscriptions renew automatically at the then-current price for the same period unless you turn off auto-renew at least 24 hours before the period ends. Your Apple ID is charged within 24 hours before renewal. For the yearly plan we remind you about 35 days before each renewal; for the monthly plan we send a reminder once a year on your subscription anniversary. Each reminder states the plan, the price and how to cancel, by notification or, if notifications are off, in Penny's chat.
3.5 Cancelling. Cancel at any time in iPhone Settings → [your name] → Subscriptions, or in Penny under Settings → Account → Manage subscription, which opens the same Apple page. You keep Premium until the end of the paid period. Deleting the app or your Penny account doesn't cancel the subscription.
3.6 Refunds. Apple handles all payments and refunds. Request one at reportaproblem.apple.com. We can't issue refunds directly. This doesn't limit any refund right you have under the law of your state or province.
3.7 Price changes. We may change prices. Apple will notify you, and where required ask for your consent, before a price increase applies to your subscription. If you don't agree, you can cancel before it takes effect.
3.8 Smart chats. A "smart chat" is a message answered by Penny's cloud helper (§6), which Penny uses only when you say yes. Premium includes up to 300 smart chats a day; free accounts get 15 a day. Both limits count a rolling 24 hours and protect the service from abuse and automated use. Messages Penny understands on your iPhone aren't limited.
3.9 Penny Pass. We may, at our discretion, give users free Premium for a limited time (for example the 90-day Penny Pass for people who can't afford Premium). A Penny Pass has no cash value, can't be transferred, and may be limited in how often it's granted. We may change or end the Penny Pass program for future grants. Passes already granted last until their stated end date.
3.10 Coins and items. Coins, Pals, outfits, decor and other in-app items are earned through use only. They can't be purchased, have no monetary value, can't be sold, traded or exchanged for money, and are a limited licence to use within Penny (§5). We may rebalance prices, drops and rewards. Seasonal items return every year, and items you own stay usable.
4. Acceptable use
4.1 You may use Penny for your own personal, non-commercial budgeting.
4.2 You may not:
- use Penny if you're under 18, or let a minor use your account;
- type or upload content that is unlawful, threatening, harassing, hateful, sexually explicit, or that exploits or harms minors;
- try to make the AI produce sexual or romantic roleplay, harmful instructions or content that breaks these Terms, or try to bypass its safety rules ("jailbreaking"), including through text hidden in receipts or screenshots;
- get around usage limits (for example by creating multiple accounts, changing dates or automating requests), or scrape, overload or reverse-engineer the service, except where the law expressly allows it;
- access another person's data, or probe, scan or test the security of our systems without our written permission;
- use invite codes in bulk, sell them, or use fake accounts to earn invite rewards;
- use Penny to run a business, manage other people's money, or provide financial services to others;
- impersonate anyone, or use pet, goal or category names that infringe others' rights;
- use Friends to harass, spam, threaten or pressure anyone: this covers friend codes, your published pet name and island, vibes, and anything else other people see;
- use Pal gifts to spam or pressure anyone, or send Pals you didn't earn (for example with a modified app or automated requests).
4.3 Shareable cards and invites. Pet cards are designed not to show money amounts. You're responsible for what you choose to share outside Penny.
4.4 Zero tolerance for objectionable content and abusive users. There is no tolerance for objectionable content (including in pet names) or for abusing other people through Friends, vibes, Pal gifts or anything else in Penny. You can report a friend or a Penny reply from inside the app, and block anyone at any time; blocking also notifies us.
4.5 How we handle reports. We review reports within 24 hours. When content breaks these Terms we remove it, and we suspend or permanently remove the account that posted it. A suspended account keeps its own budget and pet, but can't add friends, send vibes or Pal gifts, or use the cloud helper; the app says "Your account is paused. Contact support."
4.6 Enforcement. We may limit AI access, remove content, or suspend accounts for breaking this section (see §2.6).
5. Intellectual property
5.1 Your content. You own what you create in Penny: your entries, notes, chat messages, category, goal and pet names, and your pet card images. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and transmit your content only to run and improve Penny for you and as described in the Privacy Policy. This includes sending it to our AI provider to generate replies. We don't use your content to train AI models or for advertising. The licence ends when you delete the content or your account, except for copies in backups, which roll off within 30 days, and anything the law requires us to keep.
5.2 AI output. Replies and suggestions from the pet are generated automatically. As between you and us, you may use them for your own purposes. They may be inaccurate (§7), and similar output may be given to others.
5.3 Our content. Penny, including its code, design, characters (the pet, Pals and Sky Island), artwork, sounds, names and logos, is owned by us or our licensors. We give you a personal, revocable, non-transferable, non-exclusive licence to use the app on Apple devices you own or control, as allowed by Apple's Usage Rules. "Penny" and the Penny characters may not be used without permission.
5.4 Feedback. If you send suggestions, we may use them without obligation to you.
6. Privacy
Our Privacy Policy explains what we collect and why, including: data stored on your device and synced to our US-hosted database (Supabase); chat and receipt text (never images or audio) processed by Anthropic, Penny's cloud helper, only for messages your iPhone can't handle and only after you say yes in chat (or choose "Yes, always"; you can turn it off in Settings → Privacy), not used for model training; subscriptions managed by RevenueCat and Apple; chat kept 90 days; account deletion in the app; and no ads and no sale of personal information. By using Penny you acknowledge that processing.
7. The AI companion: important disclaimers
7.1 It's an AI, not a person. Your pet is software powered by an AI model. It doesn't have real feelings, can't form a relationship with you, and isn't a substitute for human connection.
7.1a Not for minors. Companion chatbots may not be suitable for some minors. Penny is for people 18 and older.
7.2 Not financial advice. Penny is a record-keeping and budgeting tool. Nothing in Penny (the pet's replies, "Assign it for me", targets, goals, recaps or insights) is financial, investment, tax, credit, debt, legal or accounting advice, or a recommendation about any product. We aren't a bank, lender, broker, credit counsellor or financial advisor. Penny can't move money and never offers loans or financial products. Talk to a qualified professional before making financial decisions.
7.3 Not therapy or emergency help. Penny isn't a mental-health service and can't respond to emergencies. If you're in crisis, call or text 988 (Suicide & Crisis Lifeline, US and Canada), text HOME to 741741, or call 911.
7.4 Check what it suggests. The AI can misread amounts, dates, merchants or categories, and its numbers and summaries can be wrong. AI-extracted expenses appear as pending cards so you can review them before they're saved. You're responsible for confirming your entries and for any decisions you make.
7.5 Imports. CSV and bank imports (when available) depend on data from your bank and third parties, which may be incomplete or delayed. Penny's bank import is read-only.
8. Disclaimers and limitation of liability
8.1 As is. To the extent permitted by law, Penny is provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise that Penny will be uninterrupted, error-free, or that data will never be lost. Keep your own export (CSV) of anything important.
8.2 Limitation. To the extent permitted by law, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, savings, data or goodwill, including financial decisions you make based on Penny. Our total liability for any claim relating to Penny is limited to the greater of (a) the amount you paid for Premium in the 12 months before the claim and (b) $50 USD.
8.3 Consumer rights. Some places, including Québec and certain US states, don't allow some of these exclusions or limits, or give consumers rights that can't be waived. Where that's the case, these sections apply only as far as the law allows, and nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or gross or intentional fault.
9. Indemnification
To the extent permitted by law, you agree to indemnify us against third-party claims arising from (a) content you share outside Penny, (b) your breach of these Terms, or (c) your violation of law or of someone else's rights. This doesn't apply to claims caused by our own fault, and doesn't apply to consumers in Québec or wherever the law prohibits it.
10. Changes to Penny and to these terms
10.1 Features may be added, changed or removed. If we remove a major Premium feature during a paid period, we'll tell you in the app, and you can cancel or ask Apple for a refund under Apple's policies.
10.2 Terms. We may update these Terms. For material changes we'll give at least 30 days' notice in the app before they take effect, and where the law requires (e.g. Québec Consumer Protection Act) we'll describe the change, its effective date, and your right to cancel. If you keep using Penny after the effective date, the new Terms apply. If you don't agree, stop using Penny, cancel any subscription and delete your account.
11. Dispute resolution and governing law
11.1 Talk to us first. Email support@domain coming before launch. Most problems can be solved quickly. Give us 30 days to try before starting a formal claim.
11.2 US users. These Terms are governed by the laws of state to be confirmed before launch and applicable US federal law, without regard to conflict-of-law rules. Dispute-resolution forum to be confirmed before launch. Either way, you may bring an individual claim in small-claims court.
11.3 Canadian users. These Terms are governed by the laws of province to be confirmed before launch and the federal laws of Canada that apply there. If you live in Québec, the laws of Québec apply, you may bring claims before the courts of Québec, and no arbitration clause or class-action waiver applies to you (Québec Consumer Protection Act, s. 11.1). Consumers in other provinces keep any non-waivable rights under their provincial consumer-protection laws (for example Ontario's Consumer Protection Act, 2002).
11.4 Time limit. To the extent permitted by law, claims must be brought within one year after they arise. (Not applicable where the law gives a longer, non-waivable period, including in Québec.)
12. Apple App Store terms
If you got Penny from the Apple App Store: (a) these Terms are between you and us, not Apple; (b) Apple has no obligation to provide maintenance or support; (c) if Penny fails to conform to an applicable warranty, you may notify Apple for a refund of the purchase price (if any), and Apple has no other warranty obligation; (d) Apple isn't responsible for any claims relating to Penny, including product liability, legal or regulatory compliance, or intellectual-property infringement claims; (e) you confirm you aren't in a US-embargoed country or on a US prohibited-parties list; (f) Apple and its subsidiaries are third-party beneficiaries of these Terms. Where these Terms are silent, Apple's Licensed Application End User License Agreement applies.
13. General
Entire agreement (these Terms plus the Privacy Policy and any in-app terms shown at purchase); severability; no waiver; you may not assign these Terms, while we may assign them in a merger or sale with notice to you; notices to you will be in-app; force majeure. Language: The parties have required that these Terms be drawn up in English (Les parties ont exigé que le présent contrat soit rédigé en anglais), unless a French version is required for Québec consumers. French version to be confirmed before launch
